Effective Date: June 16, 2025
These HRCI CHAT Terms and Conditions (the “Agreement”), together with the nonconflicting provisions of HRCI’s Terms of Use and Privacy Policy, govern the use of the HRCI CHAT AI-powered chatbot (the “Service”) provided by Human Resource Certification Institute, Inc. (“HRCI,” “we,” or “us”), a Virginia nonprofit corporation. By accessing or using the Service, you are agreeing on your own behalf and on behalf of the company or organization that employs you (collectively, “you” and/or “your”) that your use of the Service is governed by the terms and conditions of this Agreement. If you do not accept any part of the Agreement, do not use the Service.
You must have an HRCI account and use your individual HRCI-issued login credentials for your account in order to access the Service. You may not share your access credentials for the Service or allow others to use your account under any circumstances. Any such account sharing is a material breach of this Agreement.
The Service and its components are protected by copyright laws, international copyright treaties, and other intellectual property laws and treaties. Except as stated herein, neither the Service, nor any part thereof, may be reproduced, duplicated, mirrored, modified, displayed, distributed, copied, sold, resold, visited, or otherwise exploited for any purpose without express prior written consent of HRCI.
While using the Service you will comply with all applicable laws, rules, and regulations. In addition, we expect users of the Service to respect the rights and dignity of others. Your use of the Service is conditioned on your compliance with the rules of conduct set forth in this section; your failure to comply with such rules may result in termination of your access to the Service.

HRCI reserves the right, in its sole discretion, to terminate, suspend, or modify your registration with, or access to, all or any part of the Service, without notice, at any time and for any reason.
The Service is designed to support HR professionals by providing guidance and relevant references. You must review all outputs and responses, validate cited sources, and make your own decisions based on professional judgment. The Service does not constitute legal advice or regulatory compliance guidance.
The Service uses generative artificial intelligence and may produce inaccurate, misleading, or incomplete responses. You acknowledge and agree that:
You shall not enter in the Service or in any prompts or inputs used within the Service any non-public confidential or proprietary information of yours, or that of your employer, employees, customers or any confidential or proprietary information that you received or have access to from a third party subject to a duty of confidentiality (collectively, “Confidential Information”), under any circumstances. To the extent that you enter your Confidential Information in the Service, HRCI shall have no responsibility or liability whatsoever for such Confidential Information and may handle it in the same manner as all other user data entered in the Service.
The features and functionality of the Service are enabled and facilitated by its connection to large language models and related artificial intelligence software and technology services provided by third parties, subject to the terms and conditions of each third party provider of services, including but not limited to OpenAI, Perplexity and Pinecone (collectively, “Third Party Service Providers”). The inputs you provide in the Service and outputs you receive from the Service are received, processed and accessible by Third Party Service Providers subject to each of their Terms of Service accepted by HRCI. Your use of the Service requires that you agree to allow Third Party Service Providers to receive, process and have access to the inputs you provide in the Service and outputs you receive from the Service.
All intellectual property rights in and to the Service, including but not limited to patents, copyrights, trademarks, trade secrets, algorithms, models, data, documentation, updates, improvements, modifications, derivatives, and any other proprietary rights, are and shall remain the exclusive property of HRCI and its licensors. You acquire no ownership rights through use of the Service. Any improvements, suggestions, or feedback you provide shall automatically become HRCI's property without any compensation to you. You agree not to contest, challenge, or otherwise dispute HRCI's intellectual property rights and agree to execute any documents necessary to perfect HRCI's rights. You shall not remove, alter, or obscure any proprietary notices on the Service.
You grant HRCI an irrevocable, non-exclusive, worldwide, fully paid, royalty-free, unlimited right and license to use, copy, transmit, process, store and make derivative works from all prompts, inputs, outputs, usage data, and feedback you provide in connection with the Service (“User Data”), for the purposes of improving, training, fine tuning and operating the Service. Personal Data of the User and/or any third party are expressly excluded from this license, and you agree not to enter any Personal Data into the Service.
You represent and warrant that: (a) you own or otherwise control all rights in and to the User Data, which rights are legally sufficient to grant HRCI the rights and licenses to the User Data set forth in this Agreement and to enable you and HRCI to use the User Data in connection with the Service as set forth in this Agreement; (b) the User Data and its use within the Service does not violate a third party’s rights; (c) you have all necessary rights and authority to use the Service and enter into this Agreement on behalf of the organization that employs you; (d) your use of the Service will not violate any applicable laws, regulations, or third party rights; and (e) you will comply with the Use Restrictions and Rules of Conduct in connection with your use of the Service.
You agree to defend, indemnify, and hold harmless HRCI, its officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of this Agreement; (b) your use of the Service; (c) any breach of your representations and warranties; (d) your violation of any third party rights, including intellectual property rights; or (e) any claim that your use of the Service caused damage to a third party. HRCI reserves the right to assume the exclusive defense and control of any matter subject to indemnification, at your expense.
You represent and warrant that you will use the Service in compliance with all applicable laws, including but not limited to the federal, state and local laws of the United States, Canada, the European Union, the United Kingdom, and all jurisdictions in which your organization operates. HRCI makes no representations that the Service is appropriate or available for use in other areas of the world. Users who access the Service from locations outside the United States are responsible for compliance with applicable local laws.
HRCI may terminate or suspend your access to the Service at any time, with or without cause. Upon termination, your right to use the Service will immediately cease and you will no longer have access to any of the data, prompts or inputs you entered into the Service, or any of the outputs generated by the Service.
This Agreement, together with the non-conflicting terms and conditions contained in HRCI’s Terms of Use and Privacy Policy, constitutes the entire agreement between you and HRCI regarding your use of the Service and supersedes all prior or contemporaneous understandings, whether written or oral. HRCI may update these Terms and Conditions by posting a revised version. Continued use of the Service constitutes acceptance of any modifications.
By using the Service, you acknowledge that you have read, understood, and agreed that you and the organization that employs you are bound by this Agreement and that you have the legal authority to accept this Agreement on behalf of the organization that employs you, and that you will comply with the Agreement in all respects.
